- Please join the panelists as they present how to write contracts in an eloquent and “legal” way to ensure that nuances are not missed in the drafting process. The mechanics of drafting a contract, explanations of key contract terms, and the legal and business implications of ambiguity in a contract will be discussed.
This workshop is designed for new staff members.

Speakers bio:
Karin K. Rivard, Goulston & Storrs
Karin Rivard has recently joined Goulston & Storrs as Counsel, where she continues her practice in corporate, intellectual property and technology transfer law. Prior to joining Goulston & Storrs, Karin was Assistant Director and Counsel of the Technology Licensing Office at the Massachusetts Institute of Technology. She counseled members of the office in protecting and licensing new inventions, open-source software, and intellectual property for MIT, the Whitehead Institute and Lincoln Laboratory, as well as for the MIT-hosted World Wide Web Consortium. Karin also managed the protection and licensing of MIT’s trademark portfolio.
Karin has been a presenter for the Association of University Technology Managers (AUTM), the National Association of College and University Attorneys (NACUA), MCLE, and the National Council of University Research Administrators (NCURA), and has been a guest lecturer at the Franklin Pierce Law Center.
Karin has a B.A. from Brandeis University and received her J.D. from the University of Southern California Law School.
Steven J. Snyder, Goulston & Storrs
Mr. Snyder is a director in the corporate and technology practices at Goulston & Storrs. Steve brings to his practice over 13 years of experience counseling businesses and institutions on technology, healthcare and corporate matters. His clients include academic medical centers, teaching hospitals, software, medical device, biotechnology, pharmaceutical and telemedicine technology developers and providers nationally and internationally. His work includes advice with respect to financing, joint ventures, HIPAA, FDA and other regulatory compliance matters, technology transfer and licensing, commercial agreements for product development and distribution including OEM and VAR relationships, software development and consulting and other strategic relationships, and day-to-day operational matters.
He is a member of the Licensing Executives Society, Association of University Technology Managers, American Telemedicine Association, and Massachusetts Medical Device Industry Council, and is a frequent lecturer and author.
Steve received an AB, cum laude, from Harvard College and a JD, cum laude, from Harvard Law School.
Jodi Hecht, Beth Israel Deaconess Medical Center
Jodi Hecht is a technology transfer specialist at the Technology Ventures Office at Beth Israel Deaconess Medical Center. Jodi is responsible for reviewing and negotiating material transfer agreements, confidential disclosure agreements and sponsored research agreements. Prior to joining the office Jodi worked as an intern at the Massachusetts General Hospital Corporate Sponsored Research and Licensing Office. She previously held a business development position at AmberGen, Inc.
Jodi received a BSc. and MSc. from the University of Waterloo, Waterloo, Ontario Canada and a Ph.D. from Boston University.
Isabelle DeBear, Faber Daeufer & Rosenberg PC
Isabelle DeBear is the Director of Contracts Specialists at Faber Daeufer & Rosenberg PC (FDR), a boutique law firm with offices in Waltham, MA and New York, specializing in corporate and transactional law for emerging companies, research institutions and investors in life sciences. Prior to FDR, Isabelle was the Associate Director of Contracts Administration at Millennium Pharmaceuticals, Inc. She previously held positions at Genetics Institute (now Wyeth Research), Parexel International (a global contract research organization), and Cytomed Inc. (now part of Millennium).
Isabelle received a B.A. from Adelphi University, magna cum laude, in Garden City, New York. She also holds a Paralegal Certificate with a specialty in Corporate Law from Adelphi University, and completed the Advanced Licensing Course at Franklin Pierce Law School in New Hampshire.
John S. Roberts, Medlen & Carroll, LLP
John S. Roberts, Ph.D., M.B.A., Registered Patent Agent and Licensing Consultant at Medlen & Carroll, LLP: formerly Associate Director, Office of Technology Licensing, Stony Brook University; Sr. Licensing Specialist, University of Michigan. Other background: Professor of Physiology and Biophysics, Case Western Reserve Medical School; Senior Scientist, Worcester Foundation; biotech start-up experience.
Education: A.B., Dartmouth, Ph.D., Duke, MBA, Northeastern, attended Franklin Pierce Law School.
Peter Finn, Rubin and Rudman LLP
Mr. Finn is a Senior Partner with Rubin and Rudman LLP, Boston, MA where he chairs the Firms Biotechnology Department. He specializes in representing life science companies in capital formation and financing, licensing, strategic alliances, collaborations and mergers and acquisitions. He is an Associate Editor of the Journal of BioLaw and Business and has published articles on negotiating confidentiality agreements and material transfer agreements; the structuring of companies for venture capital financing and the development of clinical trial agreements. Mr. Finn sits on several committees for the Beth Israel Deaconess Medical Center.
